1. INTRODUCTION

These Terms of Use (the “Terms” or the “Agreement”) form an agreement between GLOBAL GO-HUB LTD., C.N. 516292901, a private company incorporated under Israeli law and operating under the brand “GO-HUB” (or any future brand name it may adopt) (“GO-HUB”, “we”, “us”, “our”) and you.

The term “you” refers to the person or entity visiting the GO-HUB platform, browsing, or otherwise using it. If you are accessing or using the platform on behalf of another person or a corporate entity, you represent and warrant that you have the authority to bind such person or entity to these Terms.

These Terms govern your use of and access to the GO-HUB website located at goptichub.com and any related applications, interfaces, APIs, and services (the “Platform”).

The Platform operates as an “all in one” digital marketplace and infrastructure layer connecting optical shops and online retailers (the “Stores”) wishing to purchase spectacles, ophthalmic products, eyewear, and related products (“Products”) with suppliers and/or manufacturers of such Products (the “Suppliers”).

The Platform includes any services and/or related technologies provided by GO-HUB via the Platform, including tools that provide Stores with information about Suppliers and Products, the ability to connect catalogs, synchronize data, request or receive quotes, place or route orders, manage fulfillment and logistics workflows, and access all related software, data, reports, text, images, sounds, video, profiles, graphs, tables, analytics, features, and content (collectively, the “Services”).

By accessing and/or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform or any Services. Each time you use the Platform or Services, the then-current version of the Terms will apply.

2. CHANGES TO THE TERMS AND THE PLATFORM

GO-HUB reserves the right to change these Terms at any time, except where prohibited by applicable law. Your continued access to or use of the Platform and/or Services following any changes to these Terms indicates your acceptance of such changes. You are responsible for reviewing these Terms regularly.

GO-HUB further reserves the right to: (i) discontinue offering and/or modify the Platform and/or Services at any time; and (ii) change, without notice, any information, material, or content (including, but not limited to, features, formats, availability of Supplier profiles, filtering characteristics, notifications, descriptions, and reviews and/or any other content included or posted on the Platform) (the “Content”) at any time. Any changes to fees (as defined below) will be notified by GO-HUB in advance where required by law.

3. PERMITTED USE OF THE PLATFORM & STORE AND SUPPLIER OBLIGATIONS

3.1 Stores

The Platform provides Stores with the following permitted uses (“Permitted Uses for Stores”):

  • Reviewing, filtering, and selecting Products from Suppliers to display and/or sell via the Store’s e-commerce website using the GO-HUB API or other interfaces;
  • Identifying Products and Suppliers for the purpose of purchase, replenishment, or assortment management;
  • Submitting searches or requests for Products, specifications, and/or prescriptions (where applicable);
  • Using the Store’s monitoring and reporting dashboards made available on the Platform;
  • Facilitating the transmission of payments from the Store to GO-HUB and/or Suppliers in accordance with Section 10 (Payment / Transition of Payment) and any applicable Purchase Agreement.

These are the only permitted uses of the Platform for Stores. Any other use may result in immediate revocation of all account permissions, access, and/or data. Any outstanding balance may be withheld until completion of an internal investigation and may be used, to the extent permitted by law, to indemnify GO-HUB from potential third-party claims arising from such misuse.

3.2 Suppliers

The Platform provides Suppliers with the following permitted uses and services (“Permitted Uses for Suppliers”):

  • Review, approve, or reject orders placed or routed via the Platform;
  • Provide Products pursuant to a Purchase Agreement;
  • Enable Stores to review Supplier profiles and catalogs;
  • Upload and maintain price lists, stock data, and catalog information via the Platform;
  • Review current and past transactions;
  • Review balances due and receive payments via GO-HUB in accordance with Section 10 (Payment / Transition of Payment) and any applicable Purchase Agreement.

4. SERVICE LEVEL AGREEMENTS (SLA)

4.1 Definitions (Selected)

  • Business Day – any day other than Saturday, Sunday, or a public holiday in the jurisdiction where the relevant Store or Supplier is incorporated.
  • End Customer – the retail consumer purchasing Products from a Store.
  • Order Acknowledgement – confirmation that an order has been received and processing has begun.
  • Fulfillment – complete picking, packing, quality check, and shipment of an order to the End Customer or the designated carrier.
  • Non-Conforming Product – a Product that materially deviates from its description, specification, or accepted prescription.

4.2 Store SLA: Store → End Customer

Order Acknowledgement

  • Stores should send an Order Acknowledgement within 4 hours of order receipt during business hours, or within 24 hours if received outside such hours.
  • Acknowledgement should include order reference, expected ship date, SKUs, prescription details (if applicable), price, and links for support and returns.

Prescription Verification (if applicable)

  • Verify prescriptions within 4 hours of order receipt (during business hours) and notify the End Customer if additional verification is required within 48 hours.

Fulfillment & Shipping

  • Standard stock items should ship within 3 Business Days of Order Acknowledgement.
  • Custom/prescription Products should ship within 7 Business Days, unless a longer lead time is clearly disclosed at checkout.
  • Tracking information must be provided at the time of handover to the carrier. If offered, expedited shipping options must be honored.

Delivery Estimates

  • Domestic: typically 3–7 Business Days from shipment.
  • International: typically 7–21 Business Days from shipment.
  • Stores must provide realistic estimates and update End Customers promptly in case of material delays.

Returns, Exchanges & Refunds

  • Minimum 14 calendar days from delivery for consumer returns (or longer, if required by applicable law).
  • Refunds should be processed within 7 Business Days from receipt and acceptance of returned goods.
  • Defective items should be replaced or refunded within reasonable timeframes communicated to the End Customer.

Customer Support

  • Phone: response within 2 Business Hours during published support hours.
  • Email / web form: acknowledgement within 24 hours; reply within 48 hours.
  • Complex issues should be resolved within 7 Business Days, with updates at least every 72 hours.

4.3 Supplier SLA

Order Confirmation & Acceptance

  • Suppliers must confirm acceptance of a purchase order within 4 hours (or 24 hours if outside working hours).
  • If unable to fulfill, Supplier must promptly notify the Store and GO-HUB with reasons and proposed remediation.

Production & Fulfillment

  • Stock Products: available for shipment within 3 Business Days of acceptance.
  • Custom/prescription Products: produced and dispatched within quoted lead times (e.g. 5–10 Business Days for lenses; 7–14 Business Days for custom frames), unless otherwise agreed.
  • Lead times must be accurate and updated promptly via API or dashboard in case of changes.

Quality & Non-Conforming Products

  • Products must conform to agreed specifications and applicable regulatory standards (e.g. CE, FDA, or local equivalents).
  • Non-conforming claims should be acknowledged within 48 hours and resolved within 7 Business Days, via replacement or refund and, where applicable, reimbursement of reasonable shipping costs.

Inventory & Regulatory

  • Suppliers must maintain accurate stock data and promptly update stockouts or discontinuations via GO-HUB.
  • Required regulatory markings and batch traceability information must be maintained and provided upon request.

5. PROHIBITED USE OF THE PLATFORM AND SERVICES

You shall not use the Platform and/or Services for purposes other than the permitted uses in Section 3, unless you receive GO-HUB’s prior written consent. Without limiting the generality of the foregoing, you shall not (and shall not permit any third party to):

  • Copy, reproduce, modify, distribute, transfer, sell, publish, broadcast, perform, transmit, license, or circulate any part of the Platform, Content, or Services;
  • Create derivative works based on the Platform or Content, or decompile, disassemble, or reverse engineer any part of the Platform;
  • Access, monitor, or copy any part of the Platform or Services using automated means (including robots, spiders, scrapers) without GO-HUB’s express written permission;
  • Embed or frame the Platform, or any part of it, in any website or application without authorization;
  • Tamper with, disable, or circumvent any security or access-control mechanisms;
  • Post or transmit any unlawful, infringing, harmful, misleading, defamatory, obscene, hateful, harassing, or otherwise objectionable content, or content that promotes illegal or harmful activities.

You are solely liable for any damages resulting from violation of the above or other misuse of the Platform.

6. ELIGIBILITY, REGISTRATION

By registering, you represent and warrant that all information you submit is truthful, accurate, and will be kept up to date. GO-HUB will use such information in accordance with its Privacy Policy, which is incorporated into these Terms and available at goptichub.com.

User accounts (for Stores or Suppliers) are personal to the registering entity and are not transferable or resalable without GO-HUB’s prior written consent. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. GO-HUB may suspend or terminate any account at its sole discretion, including in case of suspicious activity or violation of these Terms.

7. NON-CIRCUMVENTION

Stores and Suppliers shall not intentionally circumvent the Platform by transferring relationships, orders, or payments initiated via the Platform to direct engagements outside the Platform, without GO-HUB’s prior written consent. GO-HUB may apply sanctions, including suspension or termination, for circumvention.

8. REPRESENTATIONS AND WARRANTIES

You represent, warrant, and covenant that:

  • You have full authority to enter into and comply with these Terms;
  • You will use the Platform and Services solely for lawful commercial and business purposes;
  • You will comply with all applicable laws and regulations;
  • All information and content you provide does not infringe third-party rights, violate law, or contain harmful code.

9. GRANT OF LICENSE TO YOU

GO-HUB grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable license to use the Platform solely for the permitted uses described in these Terms.

10. GRANT OF LICENSES TO GO-HUB

You grant GO-HUB a worldwide, royalty-free, perpetual, transferable, sublicensable license to use, store, process, reproduce, modify, and create derivative works from data and content you provide via the Platform for the purpose of operating, improving, and securing the Platform and Services, subject to applicable law and the Privacy Policy.

11. PURCHASE AGREEMENTS

The Platform enables Stores to review Supplier and Product information and enter into purchase arrangements with Suppliers (each a “Purchase Agreement”). A Purchase Agreement is formed when (i) a Store selects a Product/offer and (ii) the Supplier accepts the order.

Product listings must include all applicable charges (including taxes and shipping, where relevant). Suppliers are responsible for shipping and delivery obligations, unless otherwise agreed in writing. GO-HUB is not a party to Purchase Agreements and does not guarantee delivery, quality, or conformity of Products.

12. PAYMENT / TRANSITION OF PAYMENT

Each Supplier shall pay GO-HUB a fee for use of the Platform, calculated as a percentage or other agreed portion of transaction amounts processed via the Platform (the “Fee”). GO-HUB may adjust the Fee upon advance notice, where required.

The Fee is non-refundable and due as specified by GO-HUB following Acceptance.

For Stores

Payments shall be made via valid payment methods (e.g. credit card, bank transfer), inclusive of applicable processing fees. GO-HUB may place holds on funds where required by law or in cases of suspected fraud, money laundering, or other misuse.

For Suppliers

Subject to proper fulfillment of orders, GO-HUB will settle amounts owed to Suppliers (net of applicable Fees and adjustments) within the agreed settlement cycle, typically within 30 days from Acceptance, unless otherwise agreed.

13. INTELLECTUAL PROPERTY, TRADEMARKS AND COPYRIGHTS

All rights in and to the Platform, Services, software, and Content are owned by GO-HUB or its licensors. Except as expressly permitted, you may not copy, modify, distribute, reverse-engineer, or create derivative works based on the Platform or its Content.

All GO-HUB names, logos, designs, and related marks are trademarks or trade dress of GO-HUB. No rights are granted to use them without GO-HUB’s prior written permission.

14. TERM AND TERMINATION

GO-Hub may terminate or suspend your access to the Platform and/or Services at any time in accordance with applicable law, including for breach of these Terms or suspected misuse. You may cancel your account at any time by contacting support@goptichub.com.

Provisions that by their nature should survive (including, without limitation, those relating to prohibited use, intellectual property, indemnification, limitations of liability, governing law, and miscellaneous terms) will survive termination.

15. INDEMNIFICATION

Stores and Suppliers agree to indemnify and hold harmless GO-HUB and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (i) use of the Platform or Services; (ii) breach of these Terms; (iii) breach of any Purchase Agreement; or (iv) violation of applicable laws or third-party rights.

16. WARRANTY DISCLAIMER

The Platform and Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied. GO-HUB disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. GO-HUB does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses.

17. LIMITATION OF LIABILITY

IN NO EVENT SHALL GO-HUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE PLATFORM, SERVICES, THESE TERMS, OR ANY PURCHASE AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GO-HUB’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID TO GO-HUB BY THE RELEVANT SUPPLIER IN CONNECTION WITH THE TRANSACTION GIVING RISE TO THE CLAIM, AND IN ANY EVENT SHALL NOT EXCEED USD 10,000 (OR EQUIVALENT IN LOCAL CURRENCY).

18. THIRD PARTY WEBSITES

The Platform may contain links or access to third-party sites or resources. GO-HUB has no control over such sites and is not responsible or liable for their content, products, or services. Access to any third-party site is at your own risk.

19. GEOGRAPHIC APPLICATION OF THE PLATFORM

Not all Services are available in all jurisdictions. Nothing on the Platform constitutes an offer or solicitation where such is prohibited by law.

20. NOTICES

GO-HUB may provide notices by posting on the Platform or sending emails to the address associated with your account. You are responsible for keeping your contact details accurate and up-to-date. Notices to GO-HUB must be sent by recognized courier or certified mail to: 14 HaOdem St., Petach Tikva, 49517, Israel, Attn: Legal Notices.

21. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of Israel, without regard to conflict of law principles. Exclusive jurisdiction is vested in the competent courts of Tel-Aviv–Jaffa, Israel.

22. ELECTRONIC SIGNATURES

These Terms constitute an electronic contract. By using the Platform and Services, you agree to these Terms electronically. You should print or save a copy for your records.

23. MISCELLANEOUS

Entire Agreement. These Terms constitute the entire agreement regarding your use of the Platform and Services and supersede all prior agreements.

Assignment. You may not assign or transfer these Terms without GO-HUB’s prior written consent. GO-HUB may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

No Third Party Beneficiaries. These Terms do not confer any rights on third parties.

No Waiver; Severability. Failure to enforce any provision will not constitute a waiver. If any provision is held invalid, the remaining provisions will remain in full force, and a valid provision reflecting the original intent will replace the invalid one.

Precedence. In the event of conflict between these Terms and a specific Purchase Agreement, the Purchase Agreement will prevail solely with respect to that transaction.

Relationship of the Parties. The parties are independent contractors. Nothing herein creates an agency, partnership, employment, or joint venture.
